Frank M. Leonesio, age 62, is
the founder and principal owner of both Esio Beverage (founded in
2005) and Esio Franchise (founded in 2007). He was the principal
owner and Chief Executive Officer of O Premium Waters, a
distributor of bottled water located in Mesa, Arizona, from 2001
until 2009, when he sold that company. For approximately the
previous 30 years he had been engaged in the health club business,
having founded, developed and sold three health club chains: Helen
Norman Figure Salons (located in Columbia, South Carolina),
Scandinavian Health Spas (located in Akron, Ohio) and Q Clubs, Inc.
(located in Scottsdale, Arizona).
His continuing role
with the Company after the Merger is expected to be as a member of
the Board of Directors and as a consultant. He will also continue
as Chief Executive Officer of Esio Beverage, an affiliated
company.
Lyle W. Myers, age 49, is and
has been since 2005, President of Esio Beverage and Esio Franchise.
Before then, commencing in 1993, he was employed as a Marketing
Manager by MCI Corporation, a publicly traded phone company, in its
Business Markets Division. He had previously been employed in
marketing with several construction companies in the Phoenix
Arizona areas.
His continuing role
with the Company after the Merger is expected to be as President
and CEO.
Ron Raber, age 58, is and has
been since 2005, Chief Financial Officer of both Esio Beverage and
Esio Franchise. He had previously, since 2002, been employed in the
same capacity by O Premium Waters. Prior to that, he was employed
for 4 years as Chief Financial Officer of Floral Works, Inc., a
multi-state floral product manufacturing and distribution company
servicing the grocery and mass market retail industry and
previously, for 1 year, in the same capacity by Drug Emporium of
Arizona, a regional drug store chain. Prior to Drug Emporium, Mr.
Raber spent 25 years in the grocery industry with Safeway and
Smittys Super Value in various finance and accounting positions,
including as Controller. Mr. Raber received his B.S. Business
Administration/Accounting degree from San Jose State University in
1977.
His initial role with
the Company after the Merger is to continue as Chief Financial
Officer for 90 days after the Merger, while the Company seeks a
replacement, after which time he will continue as CFO of Esio
Beverage.
Melanie Hansen, age 40, became
Esio Franchise's COO on July 18, 2011. Ms. Hansen began her career
practicing tax and corporate law at the law firm of Stinson, Mag,
and Fizzell (now Stinson, Morrison, and Hecker). She moved to
Phoenix in 1999 to assist the law firm of Gallagher & Kennedy
in expanding its tax law practice. Ms. Hansen joined Cold Stone
Creamery, Inc. as its General Counsel in 2003. While at Cold Stone,
the company opened over 1200 stores (domestically and
internationally). Ms. Hansen left Cold Stone in 2007 when it was
acquired by Kahala, Inc., joining Target Corporation, a Fortune 50
Company, where she held complete P&L responsibility for the
Northern Arizona district, which generated approximately $300
million in annual sales. Ms. Hansen was responsible for all
staffing, leadership development, and operations within her
district. While at Target, she received several awards at the
National level, including the coveted Visionary Award in 2008 and
2009. Ms. Hansen received her B.B.A. In Accounting (Magna Cum
Laude) from Wichita State University, her J.D. (Dean's Honors) from
Washburn University, and her L.L.M. (Masters of Law) in Taxation
from the University of Missouri. She is a member of the bar in
Arizona, Kansas, and Missouri, and admitted to practice in the
United States Tax Court. Ms. Hansen serves on the Board of
Directors for Phoenix Public Library Foundation, and previously
served on the boards of the Maricopa County Bar Association and
Phoenix Theatre. She also frequently volunteers at St. Mary's Food
Bank.
David A. Hays, age 52, has
been Vice President of Esio Beverage and Esio Franchise in charge
of national sales to dealers and distributors since 2008. He had
previously, for twenty-two years, been employed by DS Waters, a
national drinking water bottler and distribution company, beginning
as a Route Sales Representative and through progressive management
positions to Director of Field Operations for the Med-West Division
that included ten branches and three bottling facilities.
His continuing role
with the Company after the Merger is expected to be Vice President
of Sales.
